These Terms of Use ("Terms") govern your access to and use of the website at rconstructionsolutions.com and our related subdomains (collectively, the "Site"), and the consulting and related services we provide (the "Services"), operated by R. Construction Solutions ("R. Construction Solutions," "we," "us," or "our").

By accessing or using the Site or Services, you agree to be bound by these Terms. If you do not agree, you must not use the Site or Services.

R. Construction Solutions is a nationwide construction business consulting firm. The operating entity, WODeration LLC d/b/a R. Construction Solutions, is an Illinois limited liability company registered as a foreign entity in California, with primary office located at 101 Cooper Street, 2nd Floor, Santa Cruz, CA 95060.

## 2. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use our Site or Services. By using the Site or Services, you represent and warrant that you meet these requirements. The Site and Services are intended for business use, not personal or household use.

## 3. Description of Services

R. Construction Solutions provides consulting and advisory services to construction businesses, including but not limited to:

- General construction business consulting

- Estimating support (ConstructXcel)

- Recruiting services (XpertHire)

- Business coaching (MaximizeX)

- Business development (CapitalXL)

- Network sourcing and subcontractor connection services (ConneX)

- Process improvement consulting (ProceX)

- CRM and marketing services (SocialXpress)

- Federal procurement consulting and RFP preparation

Specific terms, deliverables, and pricing for engagements are documented in separate service agreements, statements of work, or proposals between R. Construction Solutions and the client.

## 4. Acceptable Use

When using the Site or Services, you agree NOT to:

- Use the Site or Services for any unlawful purpose or in violation of any local, state, federal, or international law

- Impersonate any person or entity or misrepresent your affiliation

- Interfere with or disrupt the Site, Services, or servers

- Attempt to gain unauthorized access to any portion of the Site, Services, or related systems

- Use automated means (bots, scrapers, crawlers) to collect information from the Site without our written permission

- Copy, modify, distribute, or create derivative works of any content on the Site without authorization

- Use the Site or Services to harass, abuse, defame, or threaten others

- Upload or transmit viruses, malware, or any harmful code

- Use the Site or Services in any manner that could damage, disable, overburden, or impair our infrastructure

## 5. Intellectual Property

### 5.1 Our Content

All content on the Site — including but not limited to text, graphics, logos, images, videos, audio, software, brand names (R. Construction Solutions, ConstructXcel, XpertHire, MaximizeX, CapitalXL, ConneX, ProceX, SocialXpress, ConstructConnect, HighLevelCRM, and others), trademarks, and the selection and arrangement of all materials — is owned by R. Construction Solutions or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

You may not use any of our content, branding, or trademarks without our prior written consent.

### 5.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal and internal business purposes, subject to these Terms.

### 5.3 Your Content

If you submit content to us (such as testimonials, project descriptions, photos, or feedback), you grant R. Construction Solutions a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, modify, publish, and display that content in connection with our business, including marketing and promotional materials. You represent that you have all rights necessary to grant this license.

## 6. Engagements and Payment

If you engage R. Construction Solutions for paid Services, the specific terms (scope, deliverables, fees, payment schedule, termination, etc.) will be set out in a separate Service Agreement, Master Services Agreement, Statement of Work, or written proposal between you and R. Construction Solutions. In the event of any conflict between these Terms and a separate signed agreement, the separate signed agreement controls.

## 7. SMS and Text Message Communications

By providing your phone number to R. Construction Solutions through our forms or other intake methods and checking the applicable consent box(es), you consent to receive text messages from us at the number you provided.

### 7.1 Transactional Messages

These include appointment reminders, order confirmations, account notifications, and service-related communications. Transactional messages are sent in connection with your relationship with us.

### 7.2 Marketing and Promotional Messages

These include marketing offers, news, content updates, special promotions, and similar communications. Marketing messages require a separate consent. Consent to receive marketing messages is not a condition of purchase of any goods or services.

### 7.3 General SMS Terms

- Frequency: Message frequency varies.

- Cost: Message and data rates may apply based on your mobile carrier plan.

- Opt out: Reply STOP to any text message to unsubscribe from that category of messages. We will send one confirmation message after you opt out.

- Carriers not liable: Wireless carriers are not liable for delayed or undelivered messages.

- Supported carriers: Major U.S. carriers including AT&T, Verizon, T-Mobile, and others.

### 9.2 Not Construction Contracting

R. Construction Solutions provides consulting and advisory services, not licensed construction contracting services. We do not hold contractor licenses in every state where we offer consulting services. Clients are responsible for ensuring that any construction work they perform complies with applicable licensing, permitting, building code, and regulatory requirements in their jurisdiction.

### 9.3 Not Legal, Tax, or Financial Advice

Content on our Site and information provided in the course of consulting engagements is for general informational and business advisory purposes. It does not constitute legal, tax, accounting, or financial advice. You should consult licensed professionals for advice specific to your situation.

### 9.4 No Guaranteed Results

Construction business outcomes depend on many factors outside our control, including market conditions, client execution, regulatory environment, and economic conditions. We do not guarantee specific revenue, profitability, project, or growth results from engaging our Services. Statistics and case studies presented on our Site reflect specific client circumstances and are not predictions of results for any other business.

## 10. Limitation of Liability

To the maximum extent permitted by applicable law, R. Construction Solutions, its officers, directors, employees, agents, affiliates, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to lost profits, lost revenue, lost data, business interruption, or loss of goodwill, arising out of or relating to your use of the Site or Services, even if R. Construction Solutions has been advised of the possibility of such damages.

R. Construction Solutions' total cumulative liability for any claims arising out of or relating to the Site or Services shall not exceed the greater of (a) the amount you paid to R. Construction Solutions in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

Some jurisdictions do not allow the limitation or exclusion of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

These Terms and any disputes arising out of or relating to them shall be governed by the laws of the State of Illinois, without regard to its conflict of laws principles.

## 14. Dispute Resolution

### 14.1 Informal Resolution

Before initiating any formal action, the parties agree to attempt in good faith to resolve any dispute by contacting [email protected] with a detailed written description of the dispute. The parties agree to engage in good-faith discussions for at least 30 days before pursuing arbitration.

### 14.2 Binding Arbitration

Any disputes that cannot be resolved informally shall be resolved by binding, confidential arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall take place in Cook County, Illinois, or remotely if both parties agree. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction solely for purposes of enforcement. The parties waive any right to a jury trial. CLASS ACTIONS, COLLECTIVE ACTIONS, AND CONSOLIDATED PROCEEDINGS ARE NOT PERMITTED.

Each party shall bear its own attorneys' fees and costs unless the arbitrator awards otherwise.

## 15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date at the top of this page. Material changes will be communicated through a notice on the Site or by email. Your continued use of the Site or Services after changes take effect constitutes your acceptance of the updated Terms.

## 16. General Provisions

### 16.1 Entire Agreement

These Terms (together with our Privacy Policy, Cookie Policy, Disclaimer, and any separately signed agreements) constitute the entire agreement between you and R. Construction Solutions regarding the Site and Services.

### 16.2 Severability

If any provision of these Terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

### 16.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

### 16.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

### 16.5 Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to acts of God, government action, pandemic, war, terrorism, natural disasters, internet outages, or labor disputes.
